Photon Energy N.V.: PENV and subsidiary PE Investments NV announce intention of merger

Amsterdam (pta006/03.06.2014/08:00 UTC+2) Amsterdam, 3 June 2014 - Photon Energy NV and fully-owned subsidiary "Photon Energy Investments NV" announce the intention to merge the subsidiary with the mother holding company. The intention to merge was officially announced today and is expected to take effect in early July 2014. The management expects no significant changes for shareholders and bondholders. Photon Energy NV will become legal successor and take over all obligations towards bondholders of Photon Energy Investments NV.

The management of global solar energy solutions company Photon Energy NV and its fully-owned subsidiary Photon Energy Investments NV, both headquartered in Amsterdam, Netherlands, announced today that they intend to merge the subsidiary "Photon Energy Investments NV" with the mother company. The merger is planned for early July 2014.

"The merger will significantly lower our operating expenses and improve the value-enhancing exploitation of synergies within the group", explains CEO Georg Hotar. "PEINV's portfolio of 26 power plants in four countries will now be directly owned by Photon Energy NV", Hotar added.

Photon Energy NV is a publicly listed company with shares being traded on the Warsaw Stock Exchange. Photon Energy Investments NV placed a corporate bond in Central Europe last year, which is traded on several stock exchanges in Germany and Austria. Photon Energy NV, as legal successor, will take over all obligations towards the bondholders. Special FAQ pages have been set up on the websites of both companies.

"The coupon will be paid on the same dates announces and we will keep to the extremely high standards of reporting which we have set ourselves", CEO Georg Hotar reassures investors. "The bond will also continue to be traded on the stock exchanges in Frankfurt, Berlin, Hamburg-Hannover and in the Corporates Prime Segment of Vienna Stock Exchange", Hotar adds.

Photon Energy Investments currently owns and runs power plants in the Czech Republic, Slovakia, Italy and Australia and has recently launched its Australian subsidiary Photon Energy Generation Australia (PEGA). PEGA offers customers revolutionary tailor-made financing options for solar power plants and is currently developing three solar installations in Australia.
