VIB Vermögen AG: VIB Vermögen AG issues mandatory convertible bond to finance further growth

Neuburg/Danube, December 3, 2014 - VIB Vermögen AG, a commercial real estate portfolio management company, further continues its sustainable growth. To this end, the company has issued another mandatory convertible bond, which was placed with institutional investors via a private placement. The two-year bonds with an issue volume ofEUR 33.2 mn features 4.0 % per annum coupon, and are denominated in EUR 1,000 each. The mandatory convertible bond will be listed on the Open Market of the Munich Stock Exchange (ISIN DE000A13SJL8, WKN A13SJL).

Subscription rights were excluded for existing shareholders. Given a conversion price of EUR 15.00, investors have two conversion windows: the first window comprises the period between July 6, 2015 and December 4, 2015, and the second the period between the third calendar day following the end of the company's AGM in 2016 and the end of the bond's term on December 4, 2016. Conversion will generate a total of 2,215,000 new shares that are to be dividend-entitled from January 1 of the respective conversion year. The transaction was managed by Baader Bank AG and Kreissparkasse Biberach as Joint Lead Managers and Joint Bookrunners.

Holger Pilgenröther, CFO of VIB Vermögen AG, was very satisfied with this transac-tion's success: "As with our two previous transactions, we have again recorded major demand. We will deploy the issue proceeds for the further growth of our company, and thereby continue its sustainable and successful development."

Ludwig Schlosser, CEO of VIB Vermögen AG, looks to a well filled project pipeline in this context: "Just recently we have expanded our portfolio to include a further retail property at a very good location. Our pipeline comprises a number of promising properties where we are in specific negotiations. This leads us to assume that we will have reinvested the issue proceeds from the bond soon."
